1. ACCEPTANCE OF TERMS

Welcome to Pulse ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Pulse website at https://trypulse.app ("Website"), our mobile and desktop applications, and all related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. DESCRIPTION OF SERVICE

Pulse is an AI-powered productivity application that provides task management, intelligent calendar scheduling, connected notes, and productivity analytics. Our Service includes features such as smart task prioritization, time-blocking suggestions, workflow optimization, and team collaboration tools.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation: To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Age Requirement: You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Service. By using the Service, you represent and warrant that you meet this requirement.

4. SUBSCRIPTION AND PAYMENT TERMS

4.2 Payment Processing: Payment processing is handled by third-party payment processors (such as Stripe). We are not responsible for any errors, failures, or security breaches of these third-party services.

4.3 Refunds: We offer a 14-day free trial for new users. Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy.

4.4 Price Changes: We reserve the right to modify our pricing at any time. Changes to pricing will not affect your current subscription period but will apply to subsequent renewal periods.

5. USER CONTENT AND DATA

5.1 Your Content: You retain all ownership rights to the content you create, upload, or store using our Service ("User Content"). By using our Service, you grant us a limited, non-exclusive, worldwide license to use, store, and process your User Content solely for the purpose of providing the Service to you.

5.2 Content Standards: You agree not to upload or transmit any User Content that:

10.1 AS-IS BASIS: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 NO WARRANTY: WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA, SYSTEM DOWNTIME, OR SECURITY BREACHES, INCLUDING CYBER ATTACKS.

10.3 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

10.4 MAXIMUM LIABILITY: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pulse, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your User Content, or your violation of these Terms.

12. TERMINATION

12.1 Termination by You: You may terminate your account at any time through your account settings or by contacting us at support@visualized.tech.

12.2 Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms.

12.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your User Content and account information, subject to our data retention policies.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

13.2 Jurisdiction: Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

14. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email to the address associated with your account. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms.

15. MISCELLANEOUS

15.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
